Shareholders approved Energy Consulting/Audit as an auditor of the Company forthe statutory audit for 2007 under Russian accounting standards. Upon consideration of the results of 2006, shareholders approved the followingdividends in cash for 2006 to be paid from 1 July 2007 until 31 December 2007: preferred shares: 460% of the nominal (par) value, i.e., 4 Rubles 60 Kopecks pershare; common shares: 460% of the nominal (par) value, i.e., 4 Rubles 60 Kopecks pershare. The shareholders also approved: 1. The Report of the Board of Directors on the result of Company's activities in 2006 and the Annual Report of the Company for 2006. 2. The annual accounting report, including profit and loss statement, of the Company for 2006. 3. Profit distribution upon results of the financial year. 4. Amendments to the Charter of the Company. 5. Amendments to the Regulations of the Board of Directors of the Company. 6. Amendments to the Regulations of the Management Board of the Company. After the shareholders meeting, the Board of Director of the Company held itsfirst meeting on which Rustam Minnikhanov was elected as the Chairman of theBoard.
