Replacement - Cancellation of warrants

The following announcement replaces RNS Number 8892V issued at 10:56 on 18-Jan-2013 and corrects both the total percentage of warrants cancelled and the number of warrants which remain in issue. All other details remain the same.

Cancellation of Warrants

Further to the announcement of 10 December 2012, Premier Gold announces that the offer to warrant holders to purchase warrants for a consideration of £0.0001552 per warrant for cancellation (the "Offer"), has now closed. An aggregate of 148,239,065 warrants, representing 84.3 per cent. of the total warrants outstanding, have been purchased by the Company and have been duly cancelled. A total of 27,560,028 warrants remain in issue; and are exercisable at any time prior to 24 October 2013 at an exercise price of 1 penny per warrant.
