Partial discontinuance of legal proceedings

Report 15/2011: Partial discontinuance of legal proceedings related to repealing Bank's Ordinary General Meeting's Resolution of 5 May 2009

The Management Board of Bank Polska Kasa Opieki Spółka Akcyjna ("Bank") inform that on April 13, 2011 the Circuit Court in Warsaw - as a result of partial withdrawal of the lawsuit by Bank's shareholder - plaintiff - discontinued the proceedings initiated by legal action of the Bank's shareholder in the part related to repealing of resolutions no. 4, no. 6, no. 7, no. 9, no. 19, no. 20, no. 28 and no. 39 of the Bank's Ordinary General Meeting of 5 May 2009, which concern approval report of the Management Board on the activity of Bank in 2008, approval report of the Management Board on the activity of Bank's Capital Group for 2008, approval the consolidated financial statements of Bank's Capital Group for 2008, approval the report on the activity of the Supervisory Board of Bank in 2008 and approval the performance of duties by Members of the Management Board of Bank in 2008 and on amendments to the Statute of Bank. As a result of the partial dismissal of the proceedings, the Court will continue to examine solely the Bank shareholder's demand for repealing resolution no. 5 of the Bank's Ordinary General Meeting of 5 May 2009 on approving the financial statements of Bank for 2008 .

The decision on partial discontinuance of the proceedings is not yet valid and final.

Legal basis: § 38 section 1 point 10 of the Finance Minister's Ordinance of 19 February 2009 re. current and periodic reports published by the issuers of securities and the rules of equal treatment of the information required by the laws of non-member states.
