OFFER FOR SUBSCRIPTION - UPDATE

On 11 January 2016 Baronsmead VCT 2 plc (the "Company") launched an offer for subscription to raise up to £10 million (the "Offer"). The Offer was open exclusively to satisfy subscriptions from existing shareholders in the Company and Baronsmead VCT plc (the "Existing Shareholders").

The directors of the Company have been advised that, on the basis of subscription forms received prior to 1.00 p.m. on 15 January 2016, the Offer has been fully subscribed by Existing Shareholders. Existing Shareholders whose subscription forms are received after this date will have their subscription returned in accordance with the terms and conditions of the Offer.

The first allotment of new ordinary shares in the Company under the Offer is expected to be on or around 8 February 2016. Dealings in the new ordinary shares issued pursuant to the Offer will become effective on 11 February 2016.
