Press Release 20 January 2010 Verona Pharma Plc ("Verona" or the "Company") Notice of Interest

Further to the announcement on the 7 January 2010, the Company received a notification on 19 January 2010 from Henderson Global Investors Ltd that its total interests in the Company, including Contract for Differences ("CfD"), is now 8.14%, due to the new ordinary shares of 0.1 pence ("Ordinary Shares") issued pursuant to the fundraising announced on 8 December 2009.

Henderson Global Investors Ltd's holdings in the Company remain unchanged at 17,636,883 Ordinary Shares and 1,800,000 CfD's.
