B.S.D Crown Ltd (LSE:BSD) ("BSD" or "the Company") Market Speculation Tel Aviv, Israel, 30 December 2014 Market Speculation in respect of a Contemplated Proposed Transaction The Company notes recent media speculation in Israel regarding discussionsbetween the Company's indirect subsidiary, G Willi-Food International Ltd.("GWF") and Netz Group Ltd. ("Netz") with respect to the proposed purchase by GWFof a stake in Mendelson Infrastructures & Industries Ltd., from Netz, a companylisted on the Tel Aviv Stock Exchange (the "TASE"), and its affiliates (the "Proposed Transaction"). Based on an earlier announcement on the TASE by the Company's direct subsidiaryand GWF's controlling shareholder, Willi-Food Investment Ltd., GWF hasconfirmed that negotiations in respect of the Proposed Transaction are at apreliminary stage and, as such, there can be no guarantee that GWF will reachagreement with the Sellers as to the final terms of the Proposed Transaction orthat any acquisition will be made on the terms currently being discussed.
