Issue of Equity - Replacement

Correction:

The following amendments have been made to the 'Issue of Equity' announcement released at 13.55 this afternoon.

The value of the third drawdown of shares under the SEDA and the average price of Fee Shares was incorrect.

Issue of Equity

PeerTV plc (AIM:PTV), a provider of technology solutions for the OTT (TV over the internet) market, and PCB (printed circuit board) production solutions announces that it has issued 4,962,122 Ordinary shares at a price of 3.0706 pence per share to YA Global SPV Limited being a third drawdown of £152,366 under the Standard Equity Distribution Agreement ("SEDA") announced on 30th July 2014.

The Company also announces that it has issued 1,000,000 Ordinary Shares in settlement of fees at an average price of 2.288 pence per Ordinary Share ("Fee Shares"). The amount of liabilities being repaid is £22,880.

The SEDA shares and the Fee Shares ("New Shares") amount to 5,962,122 Ordinary Shares in aggregate. Application has been made for the New Shares to be admitted to trading on AIM and admission is expected to occur at 8:00am on 19 December 2014 ("Admission").

Following Admission, the Company will have in issue 41,121,293 Ordinary Shares. The Company does not hold any Ordinary Shares in treasury. Therefore the total number of Ordinary Shares with voting rights in the Company will be 41,121,293. This figure may be used by Shareholders in the Company as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the share capital of the Company.
