Issue of Ordinary Shares

HICL Infrastructure Company Limited (the "Company") announces that today it has issued for cash, subject to listing, 4,300,000 Ordinary Shares of 0.01 pence each in the Company ("New Shares"). The issue price per New Share (before expenses) was 115.0 pence.
The net proceeds will be used for general corporate purposes.
Application has been made for the New Shares to be admitted to the Official List and to trading on the London Stock Exchange. It is expected that dealings in the New Shares will commence at 8.00 a.m. on 20 July 2011.
Voting Rights and Capital
Effective from 20 July 2011, the Company's share capital is expected to consist of 616,560,249 ordinary shares with voting rights. This figure may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the Company under the FSA's Disclosure and Transparency Rules.
