28 February 2014 Octagonal plc ("Octagonal" or the "Company") Subscription Octagonal plc is pleased to announce that the Company has raised £550,000through the subscription for 183,333,333 new ordinary shares of 0.05 pence eachin the Company (the "Subscription Shares") at a price of 0.30 pence perSubscription Share (the "Subscription Price") by existing shareholders and newinvestors (the "Subscription"). The Subscription is conditional only uponadmission of the Subscription Shares to trading on AIM ("Admission") and can besatisfied utilising the Company's current share authorities. Each SubscriptionShare carries a warrant which entitles the holder to subscribe for one newordinary share in the Company at 0.30 pence per share up to 28 February 2015. The net proceeds of the Subscription will strengthen the Company's balancesheet and provide working capital for the Company to investigate and implementacquisition and investment opportunities in accordance with the Company'sinvesting policy. The Subscription Shares will represent 25.57% of the enlarged issued sharecapital of the Company following Admission. Application has been made for the Subscription Shares to be admitted to tradingon AIM and it is anticipated that Admission will occur on 7 March 2014. Following Admission, the Company's enlarged issued share capital will comprise716,943,422 ordinary shares. The Company does not hold any shares in treasury.This figure of 716,943,422 ordinary shares may be used by shareholders in theCompany as the denominator for the calculations by which they will determine ifthey are required to notify their interest in, or a change in their interestin, the share capital of the Company under the FCA's Disclosure andTransparency Rules.
