Issue of Equity and Director's Dealings

Progressive Digital Media Group plc ("Progressive" or the "Company") announces that 1,400,000 ordinary shares of 1/14 pence each ("Ordinary Shares") have been issued and allotted following the exercise of options by employees pursuant to the vesting of the Company's Capital Appreciation Plan ("CAP").

Application will be made to the London Stock Exchange for the 1,400,000 Ordinary Shares, which will rank pari passu with the existing Ordinary Shares in issue, to be admitted to trading on AIM. Admission is expected to become effective on 19 March 2014.

The Company's total issued Ordinary Share capital following the admission of the new Ordinary Shares will be 75,886,720 Ordinary Shares. The Company does not hold any Ordinary Shares in treasury. Therefore the total number of Ordinary Shares with voting rights in the Company is 75,886,720. This figure of 75,886,720 Ordinary Shares may be used by shareholders in the Company as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change in their interest in, the share capital of the Company under the FCA's Disclosure and Transparency Rules.

The Company was also notified today, that as a result of the CAP scheme vesting described above, Simon Pyper, Chief Executive, exercised options over 280,000 Ordinary Shares. The Company was also notified that Simon Pyper subsequently sold 280,000 Ordinary Shares at a price of 255 pence per Ordinary Share. Following this transaction, Simon Pyper is interested in 171,048 Ordinary Shares representing 0.225% of the current issued share capital of the Company.
