PeerTV plc (AIM:PTV), a provider of technology solutions for the OTT (TV over the internet) market, and PCB (printed circuit board) production solutions announces that it has issued 9,259,259 Ordinary Shares of 0.01p in the Company (the "Ordinary Shares") in part repayment of loans due by its subsidiary PeerTV Limited at a price of 0.54 pence per share. The amount of liabilities being repaid is £50,000.

The Company also announces that it has issued 11,671,767 Ordinary shares at a price of 0.5997 pence per share to YA Global SPV Limited being a further drawdown of £70,000 under the Standard Equity Distribution Agreement ("SEDA") announced on 30th July 2014.

In addition, the Company has issued 2,015,011 Ordinary shares at a price of 0.54 pence per share in repayment of capital and accrued interest to a holder of secured loan notes issued by its subsidiary Digitek SMT Assemblies Limited and a further 5,914,259 Ordinary shares at a price of 0.54 pence per share in part repayment of a loan received by Digitek SMT Assemblies Limited.

In total, the Company is issuing 28,860,296 New Shares. Application has been made for the New Shares to be admitted to trading on AIM and admission is expected to occur at 8:00am on 6 May 2015 ("Admission").

Following Admission, the Company will have in issue 189,914,316 Ordinary Shares. The Company does not hold any Ordinary Shares in treasury. Therefore the total number of Ordinary Shares with voting rights in the Company will be 189,914,316. This figure may be used by Shareholders in the Company as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the share capital of the Company.
