Further re issue of sterling notes by REA Finance

Issue by REA Finance of up to £40,000,000 million nominal of 8.75 per cent guaranteed sterling notes 2020 ("new sterling notes")

Further to the announcement made on 2 September 2015 in connection with the supplementary prospectus and further placing (the "extended placing") by REA Finance of up to £5,124,000 nominal new sterling notes (the "tranche 2 new sterling notes"), the company announces that £300,000 nominal of tranche 2 new sterling notes have been placed firm on behalf of REA Finance at 100 per cent of their principal amount.

Accordingly, REA Finance is now issuing new sterling notes in an aggregate amount of £300,000 nominal subject only to the admission of such tranche 2 new sterling notes to the Official List and to trading on the London Stock Exchanges' market for listed securities ("admission"). 

Upon admission, the tranche 2 new sterling notes will, when aggregated with the £336,000 nominal amount of the new sterling notes issued and allotted on 3 September 2015 (the "tranche 1 new sterling notes"), be consolidated and form a single series with the tranche 1 new sterling notes. It is expected that admission will become effective and that dealings in the tranche 2 new sterling notes will commence on 9 September 2015. 

Upon admission of the tranche 2 sterling notes, the aggregate nominal amount of new sterling notes issued pursuant to the exchange offer and placing will be £26,852,000.
