Extraordinary General Meeting Requisition
The Company announces that it received on 8 December 2008 a requisition from Lynchwood Nominees Limited (in its capacity as nominee to, and on the instruction of Mr Rhys C. Davies and Mr Brett Miller), as a member of the Company representing at least 10% of the issued ordinary capital of the Company, requiring the directors of the Company, in accordance with Article 14.7 of the Articles of Association of the Company, to convene an Extraordinary General Meeting of the Company ("EGM") to propose the following resolutions, which would be proposed as ordinary resolutions, to shareholders:
1 "THAT the investment objective of the Company be amended to be: "The investment objective of the Company is to manage the sale of the Company's investment portfolio and to maximise the return of invested capital to shareholders during the period ending on 30 September 2010".
2 "THAT Robert Leighton be and is hereby removed from the office of director of the Company with immediate effect."
3 "THAT Mark Huntley be and is hereby removed from the office of director of the Company with immediate effect."
4 "THAT Victor Ng be and is hereby removed from the office of director of the Company with immediate effect."
5 "THAT Rhys Davies be and is hereby appointed a director of the Company with immediate effect."
6 "THAT Brett Miller be and is hereby appointed a director of the Company with immediate effect."
A circular convening the EGM, together with the Board's recommendations to shareholders, will be sent to shareholders of the Company in due course.
