Each of the Awards are in the form of a nil-cost option and no monetary consideration was paid for the Awards.
The LTIP Awards will vest and become exercisable on the third anniversary of their grant date (i.e. on 29 December 2023) subject to continued employment with the Company and the extent which performance conditions are met. As set out in the 2020 Annual Report, the Remuneration Committee has decided to delay the selection of metrics and targets until 2021. It is the Remuneration Committee's intention that the metrics selected will be re-aligned with the priorities of delivering a sustainable recovery over the three-year performance period. The final LTIP metrics and targets, therefore, will be disclosed in the Annual Report for the year ending 30 September 2021. In addition, the final vesting of any awards will be considered carefully by the Remuneration Committee at that time to ensure the value delivered to participants remains appropriate relative to the performance of the Group, shareholder experience, and wider workforce impact over the entire period. In particular the Committee will ensure that no undue windfall gains are made as a result of share price movements.
The Restricted Stock Awards will vest and become exercisable on the third anniversary of their grant date (i.e. on 29 December 2023) subject to continued employment with the Company and will not be subject to further performance conditions.
In addition, and as disclosed in the Company's 2020 Annual Report, the Chief Executive Officer is required to retain the after-tax value of any shares under the LTIP award for a further two years from the vesting date (i.e. until 29 December 2025). The Chief Executive Officer is also expected to build and maintain a shareholding equivalent of at least 250% of salary over a five-year period following appointment.
