ECOFIN WATER & POWER OPPORTUNITIES PLC (the "Company")

The Company has been notified that on Wednesday, 4 June, 2014, Mr Ian Barby, a non-executive Director of the Company, purchased 125,000 Ordinary 0.1p Shares in the capital of the Company at a price of 158 pence per Ordinary Share, which are registered in the name of UBS Private Banking Nominees Limited.

As a result of this purchase, Mr Barby's aggregate holding is 291,604 Ordinary 0.1p Shares. This aggregate holding represents 0.14% of the Company's issued share capital.
