Persons discharging managerial responsibility (PDMR) shareholdings

On 28 May 2012, the Company was notified that EES Trustees International Limited, as Trustee of the ICAP Employee Share Trust, transferred at nil cost 129,598 ordinary shares of 10p each (ordinary shares) in the Company to Doug Rhoten in satisfaction of the third tranche of the 2009 basic award and the 2009 matching award and the second tranche of the 2010 basic award of shares under the ICAP plc Senior Management Long Term Incentive Plan.

Doug Rhoten sold 129,598 ordinary shares on the London Stock Exchange on 29 May 2012 at an average price of £3.429931 per share.

Following these transactions, Doug Rhoten has no interest in the ordinary shares of the Company.
