Notification of Transactions of Directors/Persons Discharging Managerial Responsibility
This notification is being made in accordance with DTR 3.1.4.
On 28 May 2013, Awards in relation to ordinary shares of 2 pence each in The Innovation Group plc (the "Company") were made under the Innovation Group plc Performance Share Plan to certain Directors and one other person discharging managerial responsibilities ("PDMR") as follows:

The Awards will normally become exercisable as nil cost options from the third anniversary of grant, subject to continued employment and to the extent total shareholder return and earnings per share targets are achieved over a three year performance period.
Once vested, the Awards shall ordinarily remain exercisable until the tenth anniversary of the grant of the Awards.
No consideration was paid for the grant of the Awards and no consideration is due on the maturity of the Awards.
The Company was informed of the above transactions on 28 May 2013.
