Warner Estate Holdings PLC07 March 2008 Warner Estate Holdings PLC ("the Company") Directors' Shareholding The Company has been advised that a total of 54,820 Ordinary shares of 5p in theCompany were recently transferred to Trusts in which both Mr P C T Warner(Chairman of the Company) and Mr R H Warner (a Non-executive Director) have anon-beneficial interest. Following the transfers, Mr P C T Warner has a non-beneficial interest in9,568,495 shares, representing 17.11 per cent. of the Company's issued ordinaryshare capital and Mr R H Warner has a non-beneficial interest in 5,792,350shares, representing 10.35 per cent. of the Company's issued ordinary sharecapital.
