Persons discharging managerial responsibility (PDMR) shareholding

On 8 February 2010, the Company was notified that Halifax EES Trustees International Limited, as Trustee of the ICAP Employee Share Trust, transferred 52,629 ordinary shares in the Company at nil cost to David Casterton following vesting of the second and third tranche of the 2008 basic award and the 2008 matching award under the ICAP plc Senior Management Long Term Incentive Plan (LTIP).

In addition, Mrs Caroline Casterton has purchased 50,000 ordinary shares at 300.81p per share.

Following these transactions, David Casterton has an interest in 258,813 ordinary shares in the Company representing 0.04% of the Company's total voting rights.
