Grant of share awards under the ICAP plc Senior Management Long Term Incentive Plan (LTIP).

On 28 May 2015 the following persons discharging managerial responsibilities (PDMR) were awarded the following basic award shares under the LTIP:

These basic awards will vest on the third anniversary of the award.

The total of these LTIP awards, being 313,026 ordinary 10p shares, will be satisfied by shares held in the ICAP Employee Share Trust.
