Persons discharging managerial responsibility (PDMR) shareholdings

On 24 May 2012, the Company was notified that EES Trustees International Limited, as Trustee of the Garban Employee Share Trust, transferred at nil cost 176,384 ordinary shares of 10p each (ordinary shares) in the Company to Mark Price, a PDMR, in satisfaction of the first tranche of the 2011 award of shares under the ICAP plc Senior Management Long Term Incentive Plan.

Mark Price sold 134,144 shares on the London Stock Exchange on 24 May 2012 at an average price of £3.399586 per share.

Following these transactions, Mark Price has a personal interest of 42,240 shares representing 0.0065% of the total voting rights of the Company.
