SQS Software Quality Systems AG ('SQS' or the 'Company')

Director's shareholding

On 14 December 2009 the Company was notified that on that date Rudolf van Megen, the Chief Executive of the Company, and his wife Ilona van Megen each transferred for nil consideration 125,000 SQS ordinary shares (the "Transferred shares") into the name of their seventeen year old daughter.  

In accordance with a legal agreement entered into between the van Megen's, save for certain limited dividend rights, Rudolf and Ilona van Megan retain control over the Transferred Shares.

Following the above mentioned transfers, Rudolf van Megan's beneficial holding in SQS shares is unchanged. The Transferred Shares represent 5.9 per cent of Rudolf van Megen's beneficial holding.
