Director/PDMR Shareholding Notification

Caledonia Investments plc ("Caledonia") has been notified pursuant to DTR 3.1.2R of the following transaction in its ordinary shares of 5p each involving two of its directors, William Wyatt and The Honourable Charles Cayzer, and Mr Wyatt's four minor children, Isabella, Oliver, India and Johnny, being persons connected with him. 

On 23 March 2015, a family trust of which Mr Wyatt's children are beneficiaries purchased 2,000 shares in Caledonia at a price of 2333p per share from a close family relative. The purchase was conducted off-market and in London. Both Mr Wyatt and The Hon Charles Cayzer are trustees of this trust and therefore Caledonia shares held by it are included respectively in their beneficial and non-beneficial interests. The shares purchased by the trust will be registered in the name of Caytrust Finance Company Limited.

Mr Wyatt's total interests in Caledonia's ordinary shares following the above transaction are as follows:

Beneficial - 1,060,365* shares = 1.91%

Non-beneficial - 28,293 shares = 0.05%

Options - 19,496 shares = 0.04%

Performance share scheme awards - 109,202 = 0.20%

Deferred bonus plan awards - 49,224 shares = 0.09%

* includes 953,066 shares owned by The Dunchurch Lodge Stud Company, a private company controlled by Mr Wyatt and persons connected with him.

The Honourable Charles Cayzer's total interests in Caledonia's ordinary shares following the above transaction are as follows:

Beneficial - 40,092 shares = 0.07%

Non-beneficial - 21,500 shares = 0.04%
