Persons discharging managerial responsibility (PDMR) shareholdings

On 27 May 2015, the Company was notified that Sanne Fiduciary Services Limited, as trustee of the ICAP Employee Share Trust, transferred at nil cost the following ordinary shares of 10p each (ordinary shares) in the Company to the following PDMRs in satisfaction of their 2012 basic awards of shares under the ICAP plc Senior Management Long Term Incentive Plan:

In order to meet the tax liability which is incurred immediately by the vesting of those shares, the following sales of shares were made on the London Stock Exchange on 27 May 2015 at an average price of £5.613128 per share.
