ICAP plc (the Company)

Grant of share awards under the ICAP plc 2015 Deferred Share Bonus Plan (DSBP) and 2015 Performance Share Plan (PSP).

On 16 November 2016, the following persons discharging managerial responsibilities (PDMRs) were awarded the following share awards under the DSBP:

The DSBP awards will normally vest on 24 May 2019 subject to the participant continuing to hold office or employment within the ICAP Group.

On 16 November 2016, the following PDMRs were awarded the following conditional share awards under the PSP:

The PSP awards will normally vest on 24 May 2019 subject to the participant continuing to hold office or employment within the ICAP Group and the achievement of the following performance conditions measured over a three year period to 31 March 2019:

1. 50% of the PSP award will be subject to a Total Shareholder Return performance condition; and

2. the remaining 50% of the PSP award will be subject to a point-to-point EPS performance condition.
