ICAP PLC19 June 2006 ICAP plc (the "Company") Mourant ECS Trustees (Jersey) Limited as trustee of the ICAP Employee ShareTrust (the "Trust") purchased 200,000 ordinary shares in ICAP plc at an averageprice of £4.934 per share on 16 June 2006. Following these transactions, the trustee of the Trust holds 967,294 unallocatedordinary shares in the Company. The Trust is a discretionary trust established by the Company of which allemployees and former employees of ICAP plc and its subsidiaries are potentialbeneficiaries. Four of the Company's directors, M A Spencer, S McDermott, DGelber and M Yallop, are therefore, regarded for Companies Act purposes, asbeing interested in the Company shares held by the trustees of the Trust.
