NOTIFICATION OF TRANSACTIONS OF A DIRECTOR / PDMR

In accordance with the requirements of D.T.R. 3.1.2 Dixons Carphone plc today announces that Charles Dunstone, Chairman, transferred 325,000 shares in the Company by way of a gift into The Charles Dunstone Charitable Trust on 22 January 2015. He is not a trustee or beneficiary of such trust.

As a result of this transfer, Charles Dunstone now holds 134,758,481 ordinary shares, representing approximately 11.71% of the issued share capital of the Company.

This notification is made on 22 January 2015 in accordance with the requirements of D.T.R. 3.1.4.
