ICAP PLC22 June 2006 ICAP plc (the "Company") Mourant ECS Trustees (Jersey) Limited as trustee of the ICAP Employee ShareTrust (the "Trust") purchased 696,978 ordinary shares in ICAP plc at an averageprice of £4.7746 per share on 21 June 2006. Following these transactions, the trustee of the Trust holds 2,454,530unallocated ordinary shares in the Company. The Trust is a discretionary trust established by the Company of which allemployees and former employees of ICAP plc and its subsidiaries are potentialbeneficiaries. Four of the Company's directors, M A Spencer, S McDermott, DGelber and M Yallop, are therefore, regarded for Companies Act purposes, asbeing interested in the Company shares held by the trustees of the Trust.
