Verona Pharma plc (the "Company") Director Shareholding

The Company received notification on 22 June 2007 that, on 20 June 2007, Stuart Bottomley, a director of the Company, acquired an interest in 1,000,000 ordinary shares of 0.1p each in the Company ("Ordinary Shares") at a price of 2.375p per share. 500,000 of the shares are registered in the name of Alpha Trustees Ltd a/c Mr. HS Bottomley SIPP, and the remaining 500,000 shares are registered in the name of Mr Bottomley's wife, Hannah Bottomley.

The acquisition has increased Mr. Bottomley's interest in the Company to 7,200,000 Ordinary Shares, representing 4.99% of the Company's issued ordinary share capital.
