DIRECTOR DECLARATION

In its preliminary announcement of results for the year ended 30 June 2011, the Company announced today that Victoria Jarman will join the Board of Hays plc as a non-executive director on 1 October 2011 and as Chairman of the Audit Committee on conclusion of the Company's Annual General Meeting on 9 November 2011. The Company confirms that no further information is required to be disclosed in relation to Victoria Jarman pursuant to LR 9.6.13 R.
