Conversion Notice : Newick Convertible Loan

("Verdes" or the "Company")

The Company confirms that it has received a conversion notice on 19 January 2014 from Newick Developments Limited ("Newick"), in relation to the outstanding balance of £125,000 under the convertible loan agreement ("the Newick Convertible Loan" or "Loan") entered into between Newick and the Company on 4 October 2013.

This notice of conversion will take effect on Monday 27 January 2014, at which time the Loan will be converted into 227,272,727 new ordinary shares in the capital of the Company at 0.055p per share (representing 21.5% of the enlarged share capital). Application will be made for these shares to admitted to trading on AIM shortly thereafter.
