Ebiquity plc ('Ebiquity' or the 'Company')

Ebiquity has today awarded options over ordinary shares of 25 pence each in the share capital of the Company ("Ordinary Shares") to certain directors and PDMR's as detailed below. These relate to the period which commenced on 1st January 2018 and each option over an Ordinary Share has an exercise price of 25 pence.
The options will vest conditional on the satisfaction of performance criteria relating to the compound growth of the Company's diluted adjusted earnings per share ("EPS") over a five-year period, in accordance with the following: -
· EPS growth of 15% over the relevant performance period will vest the option in full
· 70% will vest if EPS growth over the relevant performance period is 12%
· EPS growth of 8% over the relevant performance period will vest 30% of the grant
· None will vest if EPS growth over the relevant performance period is less than 8%
· The share option will vest on a straight-line basis where EPS growth over the relevant performance period is between 8% and 12% or between 12% and 15%
One quarter of each award will vest at the earlier date of the 30th April following the initial three-year period if the total shareholder returns (TSR) of the Company are in the top quartile of the TSR of the AIM Media Index over the same period. TSR is measured on the average share price of the Company in the 20 trading days immediately following the preliminary announcement of results for the third financial year relative to the 20 trading days prior to 30th April of the first year. If this condition is not met, the total award will be capable of vesting according to EPS growth over the five-year period.
