Announcement re LMS Capital plc (the "Company")

The Withers Trust Corporation, Robert Rayne, the Chairman of the Company, certain members of his family and related trusts and other shareholders of the Company (together, the "Concert Party") note the announcement made by the Company earlier today.

The Concert Party is pleased that the independent directors of the Company now support the Concert Party's conviction that an orderly realisation strategy is in the interests of shareholders as a whole. This change of direction will facilitate implementation of the strategy advocated by the Concert Party and which the Concert Party firmly believes will benefit all shareholders.

In its discussions with the Company, the Concert Party's objective has always been to identify a way forward which would benefit all shareholders equally. In fulfilling this objective, it has never sought to have its shareholding bought by the Company, nor has it sought any different treatment for its shareholding from that of other shareholders.

The Concert Party proposes to identify with fellow shareholders the optimal board composition for the Company to take this new strategy forward with the objective of maximising shareholder value. The Concert Party will also discuss with shareholders the proposal to remove a board member who has consistently supported the strategy which has now been adopted by the independent directors.
