Interserve Plc announces that 1,564,400 ordinary shares of 10 pence each willbe issued to the Interserve Employee Benefit Trust to fulfil this year'svesting obligations to participants under the Interserve Performance Share Plan2006.

An Application has been made to The UK Listing Authority and the London StockExchange for 1,428,559 Ordinary shares of 10 pence each, being the balance ofthe above share awards not covered by an existing block listing, to be admittedto the Official List and to be admitted to trading on the London StockExchange. These shares shall rank equally with the existing issued shares ofthe Company and it is expected that admission will become effective on 10 April2013.
