Xchanging plc 

This replaces the announcement for the Additional Listing made on 31 March.

Application has been made to the UK Listing Authority and the London Stock Exchange for admission to the Official List and to trade on the London Stock Exchange in respect of 15,249,998 ordinary shares of 5p each.

The new shares will be issued on 2 April 2009 pursuant to Sale and Purchase Agreements entered into by Xchanging plc for the acquisition of 75% of the fully diluted share capital of Cambridge Solutions Limited, an international BPO and IT services provider with a global presence through offices in eight countries, including India, the USA, and Australia.

The shares will rank pari passu in all respects with the existing issued ordinary share capital of the company.
