THE ZERO PREFERENCE GROWTH TRUST PLC

The Company announces the results of the Annual General Meeting held on 7 December 2006, as follows:

Resolution 1, to receive the Report of the Directors and the audited financial statements for the year ended 31 July 2006, was passed.

Resolution 2, to receive and approve the Directors' remuneration report, was passed.

Resolution 3, to re-elect Mr R Ottley as a Director, was passed.

Resolution 4, to re-appoint KPMG Audit PLC as Auditors and to authorise the Directors to determine their remuneration, was passed.

Resolution 5, to amend the Company's Articles of Association to allow a Director to be appointed or continue in office after attaining the age of 70 was passed.

Resolution 6, authority to allot shares under Section 80 of the Companies Act 1985, was withdrawn.

Resolution 7, authority to allot shares under Section 95 of the Companies Act 1985, was withdrawn.

Resolution 8, authority to make market purchases of Growth shares was passed.

Resolution 9, authority to make market purchases of Zero Dividend Preference shares was passed.

Resolution 10, authority to issue shares previously held in treasury at a discount to net asset value was withdrawn.
