Notifications by PDMRs and persons closely associated with PDMRs
Circumstances giving rise to the notifications
The Company announces that awards were granted to the executive directors under the Long-Term Incentive Plan (‘LTIP’) on 25 June 2025, as set out below:

The awards are in the form of a nil-cost option and no monetary consideration was paid for the awards. The awards are subject to the satisfaction of performance conditions. The remuneration committee has decided that the awards will be based on the following performance conditions:
two-thirds on the Company’s adjusted earnings per share growth to the year ending on or around 31 March 2028; and one-third on total shareholder return relative to a comparator group of the Company’s peers.The remuneration committee believes that the selection of the above performance conditions will ensure that the vesting outcome is fully aligned with the shareholder experience. Further information about the plan is provided on pages 87 to 94 and 150 to 151 of the Company’s 2025 Annual Report.
This award is equivalent to 150% of base salary for Simon Dodd (CEO) and Mike Owen (CFO) and 125% of base salary for Tracy Dodd (People Director). The award will vest and become exercisable subject to continued employment with the Company and the extent to which performance conditions are met.
