Result of secondary placing of Existing Ordinary Shares in XLMedia plc

WebPals Enterprises Limited Partnership ("WELP") and Israeli VC Partners Limited Partnership ("Israeli VC Partners" and together with WELP, "the Sellers") announce that further to the announcement on 27 March 2017 regarding their proposal to sell ordinary shares in XLMedia Plc ("XLMedia" or the "Company"), they have successfully sold their remaining stakes of 64,206,814 existing ordinary shares in XLMedia (the "Placing Shares") at a price of 110p per share (the "Placing").

The Placing Shares represent, in aggregate, 32% of the issued share capital of the Company and following completion of the Offering, none of the Sellers will hold any ordinary shares of the Company.

The Placing is expected to settle on 31 March 2017, subject to the satisfaction or waiver of certain customary conditions. The Company is not a party to the Placing and will not receive any proceeds from the Placing.

Joh. Berenberg, Gossler & Co KG ("Berenberg") acted as sole bookrunner and placing agent in relation to the Offering. Due to significant investor demand and the clean-up nature of the transaction, Berenberg, the Sole Bookrunner on the recent sale of shares by WELP, has agreed to waive the lock-up restrictions which otherwise apply to such shares.
