PlacingΒ to raise approximately Β£2.1Β million (CAN$3.8Β million)

Xcite Energy, a developer of heavy oil assets in the UK North Sea, announces that it has conditionally placed 10,141,998 new ordinary shares of no par value (the 'Placing Shares') at a price of 21 pence (CAN$0.37) per share to raise approximately Β£2.1 million (gross) (CAN$3.8 million) from investors in the UK and Canada (the 'Placing'). TheΒ net proceedsΒ will be used to assist the Company in securing the necessary industry partners,Β and to further the commercial arrangements,Β that are expected to enable the Company to moveΒ forwardΒ to the next phase ofΒ itsΒ development of the Bentley field, and forΒ generalΒ working capital purposes.
Placing Shares have been conditionally placedΒ in theΒ UKΒ by Arbuthnot Securities LimitedΒ with institutional and other investorsΒ andΒ inΒ CanadaΒ by Octagon Capital Corporation andΒ by the Company.Β Β Application will be made to London Stock Exchange plc,Β and has been made to the TSX Venture ExchangeΒ for the Placing Shares to be admitted to trading onΒ AIMΒ andΒ to listing onΒ the TSX Venture Exchange.Β
Subject, inter alia, to admission of the Placing Shares toΒ AIMΒ andΒ the listing on theΒ TSX-VΒ becoming effective,Β closing and admission are expected to occur onΒ 7 October 2009. The Placing SharesΒ willΒ representΒ 14.2Β per cent. of the Company's enlarged share capital.Β Β Following Admission, the CompanyΒ expects toΒ haveΒ 71,555,798Β Ordinary Shares in issue.
