Xchanging plc
PDMR Shareholding
Xchanging plc ('Xchanging'), the business technology and services provider, was informed on 14 March 2016 of the following transactions by persons discharging managerial responsibility ('PDMR'), in relation to shares awarded previously under Xchanging's share plans:
a) Jon Stratford
Following the vesting of 200,000 shares under the Xchanging BV Approved and Unapproved Option Plans, Mr Stratford sold 139,826 ordinary shares of 5p each (representing 0.056% of the issued share capital of Xchanging) at a price of 1.87p per share, to cover the exercise price of the options as well as the tax and national insurance payable on the value of the vested shares.
b) Jim Reesing
Following the vesting of 16,331 shares under an individual award granted on2 December 2013, Mr Reesing sold 6,786 ordinary shares of 5p each (representing 0.007% of the issued share capital of Xchanging) at a price of 1.87p per share, to cover the tax and national insurance payable on the value of the vested shares.
Following these transactions, the total number of ordinary shares held by each PDMR (and including those held by their connected persons) has increased to:
· 301,396 ordinary shares (approximately 0.122% of Xchanging's issued share capital) for Mr Stratford; and
· 9,545 ordinary shares (approximately 0.004% of Xchanging's issued share capital) for Mr Reesing.
The above transactions took place on the London Stock Exchange on 10 March 2016. This notification is made in accordance with DTR 3.1.4R(1)(a).
