Announcement to the London Stock Exchange
This notification is made in accordance with DTR 3.1.4.
On 3 April 2014, the following options over ordinary shares in the Company were granted under the Xchanging plc 2012 Deferred Share Bonus Plan (the "Plan") to Persons Discharging Managerial Responsibility ("PDMRs") of the Company:

The number of options awarded is based on the middle-market quotation of Xchanging plc's share price at market close on 3 April 2014.
No consideration was paid for the grant of the awards which represent one third of their 2013 bonus award deferred under the Plan.
The options will normally become exercisable on the third anniversary of the date of grant, and will remain exercisable until the eighth anniversary of the date of grant.
At the time of exercise the obligations will be met through the market purchase of shares.
The Company was informed of the above transactions on 4 April 2014.
