PDMR Shareholding

Xchanging plc ('Xchanging'), the business technology and services provider, was informed on 26 March 2015 of the following transactions by David Bauernfeind, a person discharging managerial responsibility ('PDMR'), and persons connected to him:

a) David Bauernfeind

Mr Bauernfeind purchased 17,492 ordinary shares of 5p each in Xchanging ("Shares") (representing 0.007% of Xchanging's issued share capital). On the same day Mr Bauernfeind also sold 4,441 Shares (representing 0.002% of Xchanging's issued share capital). These transactions were carried out at an average price of 143p per Share.

b) Nicolette Bauernfeind

Nicolette Bauernfeind purchased 10,410 Shares (representing 0.004% of Xchanging's issued share capital). On the same day she also sold 29,385 Shares, and transferred a further 24,000 shares to Ornella Bauernfeind (each disposition representing 0.012% and 0.010%, respectively, of Xchanging's issued share capital). These transactions were carried out at an average price of 143p per Share.

c) Ornella Bauernfeind

Ornella Bauernfeind purchased 10,400 Shares (representing 0.004% of Xchanging's issued share capital) at a price of 143p per Share.

Following this transaction, the total number of ordinary shares held by Mr Bauernfeind (including those held by connected persons) has increased to 767,561 ordinary shares, representing approximately 0.311% of Xchanging's issued share capital.

The above transactions all took place on the London Stock Exchange on 25 March 2015 and Xchanging was informed on 26 March 2015. This notification is made in accordance with DTR 3.1.4R(1)(a).
