This notification is made in accordance with DTR 3.1.4.
On 23 May 2013, the following options over ordinary shares in the Company were granted under the Xchanging plc 2012 Deferred Share Bonus Plan (the "Plan") to Persons Discharging Managerial Responsibility ("PDMRs") of the Company:

The number of options awarded is based on the middle-market quotation of Xchanging plc's share price at market close on 22 May 2013.
No consideration was paid for the grant of the awards which represent one third of their 2012 bonus award deferred under the Plan.
The options will normally become exercisable on the third anniversary of the date of grant, and will remain exercisable until the eighth anniversary of the date of grant.
At the time of exercise the obligations will be met through the market purchase of shares.
The Company was informed of the above transactions on 23 May 2013.
