This notification is made in accordance with DTR 3.1.4.
On 3 April 2014, the following awards over ordinary shares in the Company were made under the Xchanging plc 2007 Performance Share Plan (the "Plan") to Persons Discharging Managerial Responsibility ("PDMRs"):

No consideration was paid for the grant of the awards which are structured as conditional awards.
The vesting of an award is subject to the Company's performance in absolute total shareholder return and economic profit. The award will normally vest on the third anniversary of grant and if it is determined that the performance conditions have been met. PDMRs are required to hold the shares for an additional six months after vesting.
