Application has been made to the UK Listing Authority and the London Stock Exchange forΒ admission to the Official List and to trade on the London Stock Exchange in respectΒ ofΒ 15,249,998Β ordinary shares ofΒ 5p each.
The newΒ shares will beΒ issued on 2 April 2009Β pursuant toΒ SaleΒ and Purchase Agreements entered into by Xchanging plc for the acquisitionΒ ofΒ 75% ofΒ the fully diluted share capital of Cambridge Solutions Limited,Β an international BPO and IT services provider with a global presence through offices in eight countries, includingΒ India, theΒ USA, andΒ Australia.
The shares will rank pariΒ passuΒ in all respects with the existing issued ordinary share capital of the company.Β
