Waterman Group plc ("the Company")

DIRECTOR DEALING

Waterman Group, the international engineering and environmental consultancy, announces that it was notified on 7 October 2013 that on that date, the following Directors of the Company purchased ordinary shares of 10 pence ("Ordinary Shares") in the Company at the respective prices stated:

Mr N J Taylor, Chief Executive Officer 40,000 54.0

Mr N J Taylor, Chief Executive Officer 38,000 56.0

Mr Taylor had earlier exercised 38,000 conditional share awards in the form of Ordinary Shares of 10p each. This award was granted on 10th December 2008. He sold these 38,000 shares in the open market at 54.5p each and, as noted above, repurchased 38,000 shares at 56.0p.
