Warner Estate Holdings PLC02 October 2006 Warner Estate Holdings PLC ("the Company") Shareholdings of Directors and PDMRs Messrs. P C T Warner and P W Collins, Directors of the Company, each purchased32 Ordinary shares, and Mr M J Stevens, a Director of the Company, purchased 34Ordinary shares in the Company on 29 September 2006 at 760p each under theCompany's All Employee Share Ownership Plan ("the AESOP"). Messrs. P C T Warnerand P W Collins purchased 16 of their shares as Partnership Shares and 16 shareseach were purchased by the Company as Matching shares under the rules of theAESOP. Mr M J Stevens purchased 17 of his shares as Partnership Shares and 17shares were purchased as Matching Shares under the rules of the AESOP. Mr P WCollins also purchased 93 Ordinary shares, Mr M J Stevens also purchased 89Ordinary shares and Mr P C T Warner also purchased 85 Ordinary shares in theCompany on 29 September 2006 at 760p each in respect of Dividend Shares underthe AESOP. All shares were purchased on their behalf by Capita IRG TrusteesLimited, the Trustee of the AESOP. The Trustee will hold the Shares in Trust,with the Matching shares being held for a minimum period of five years followingthe date of the purchase and the Dividend Shares being held for a minimum periodof three years following the date of the purchase. The shares purchasedrepresent less than 0.001 per cent. of the Company's issued ordinary sharecapital. Each PDMR purchased 16 of their shares as Partnership Shares and 16shares each were purchased by the Company as Matching Shares under the rules ofthe AESOP. Messrs D J Lanchester, K R Meade and V B Vaghela also each purchased93 Ordinary shares and Mr M D Ovens also purchased 6 Ordinary shares in theCompany on 29 September 2006 at 760p each in respect of Dividend Shares underthe AESOP.
