Director's Share Transaction

In accordance with DTR 3.1, Wilmington Group plc announces that Basil Brookes, an Executive Director, on 29 October 2010 transferred 261,703 ordinary shares of 5 pence each ("Shares") in the Company for nil consideration from his personal holding to his immediate family's personal holding. There is no change in the beneficial ownership of these Shares and his total holding remains at 845,662 Shares representing 1.00% of the Company's issued ordinary share capital.
