Ireland Group PLC (WHI)Completion of Placing 30-Nov-2016 / 07:00 GMT/BSTDissemination of a Regulatory Announcement that contains inside informationaccording to REGULATION (EU) No 596/2014 (MAR), transmitted by EQS Group.The issuer is solely responsible for the content of this announcement. --------------------------------------------------------------------------- WH Ireland Group Plc ('WH Ireland' or the 'Company') Completion of Placing The Company is pleased to announce that it has successfully completed,subject only to admission, a cash placing to raise approximately £1.58mfrom the issue of 1,287,240 new ordinary shares of 5p each ('New OrdinaryShares') at a price of £1.23 per share (the 'Placing'). Application hasbeen made for the New Ordinary Shares to be admitted to trading on AIM anddealings are expected to commence on 6 December 2016. The funds raised from the Placing will be used for general corporatepurposes. As part of the Placing, Oceanwood Capital Management Limited has subscribedfor 324,384 New Ordinary Shares, increasing its total holding toapproximately 4,334,214 Ordinary Shares, representing 15.78% of theCompany's Enlarged Share Capital. Polygon Global Partners Limited hassubscribed for 474,992 New Ordinary Shares, increasing its total holding to6,343,126 Ordinary Shares representing 23.09% of the Company's EnlargedShare Capital and KEH Group, through their subsidiary Integrated FinancialServices for Buying and Selling Securities W.L.L. Co., has subscribed for487,864 New Ordinary Shares, increasing their total holding toapproximately 6,525,079 Ordinary Shares representing 23.76% of theCompany's Enlarged Share Capital. As the subscribers to this Placing each hold more than 10% in the issuedshare capital of the Company, this is a transaction to which Rule 13 of theAIM Rules for Companies applies. Accordingly, the directors of the Company,having consulted with the Company's nominated adviser, SPARK AdvisoryPartners Limited, consider that the terms of the transaction are fair andreasonable insofar as the shareholders are concerned. Following the issue of the New Ordinary Shares, the total number of sharesin issue is 27,467,476 New Ordinary Shares. There are no shares held intreasury. Therefore, the total number of voting rights in the Company is27,467,476.
