2021 ANNUAL GENERAL MEETING - UPDATE

This announcement provides an update to the arrangements for the Company's 2021 annual general meeting ("AGM" or "Meeting"), as detailed in the Notice of Annual General Meeting published on 18 May 2021 ("Notice") and a copy of which can be obtained from the Company's website at http://vpcspecialtylending.com.

Following the UK Government's announcement on 14 June that the current Covid-19 restrictions would continue beyond 21 June 2021, the Company's Board of Directors can confirm that the AGM will be going ahead as planned on 24 June 2021 at 3.00pm at 10-11 Carlton House Terrace, London, SW1Y 5AH. Appropriate social distancing measures will be in place at the venue. The Board would like to remind those shareholders planning to attend the meeting in person to observe social distancing rules to ensure the health, safety and security of attendees and to allow the business of the Meeting to be properly transacted. The venue has a restriction of 25 shareholders who can attend the AGM in person. You can register your interest in attending the AGM in person by emailing the Company Secretary at VPC@linkgroup.co.uk.

In the circumstances the Board encourages shareholders to vote electronically and to appoint the Chair of the meeting as their proxy with their voting instructions. All valid proxy votes, whether submitted electronically or in hard copy form, will be included in the polls to be taken at the meeting. Notice of your appointment of a proxy should reach the Company's registrar, Link Group by no later than 3.00 p.m. on 22 June 2021.

As detailed in the Notice of AGM, the Company has made available a dial-in facility to allow shareholders to listen to the AGM proceedings. Details of how to access this dial-in facility are available from the Company Secretary upon request by email to VPC@linkgroup.co.uk. Please note that it will not be possible to vote on the matters to be considered at the AGM through the dial-in facility. Shareholders who choose to make use of this dial-in facility may not ask questions during the AGM proceedings but can ask questions in advance of the meeting by writing to the Company Secretary, Link Company Matters Limited at 6th Floor, 65 Gresham Street, London EC2V 7NQ or by email to VPC@linkgroup.co.uk so as to be received by the Company Secretary no later than 3.00 pm on 21 June 2021. If appropriate the Company will publish a list of responses on its website at https://vpcspecialtylending.com after the AGM.
